1. Company Identity and Scope

Retro Cars USA is a commercial brand and trading identity operated by Retro Cars N’ Parts LLC (“Company,” “we,” “us,” or “our”), a limited liability company organized under the laws of Wyoming, United States.

These Terms & Conditions govern the use of our website, vehicle inquiries, purchases, brokerage arrangements, special orders, replacement parts, restoration-related services, and associated transactions.

Retro Cars USA may operate as a vehicle seller, sourcing agent, broker, intermediary, or service coordinator. Our specific contractual role shall be identified in the applicable written agreement.

The Company does not assume the legal obligations of an independent manufacturer, seller, repair facility, or other third party merely by arranging or facilitating a transaction.

2. Website Information and Representations

Vehicle descriptions, photographs, specifications, pricing, availability, delivery estimates, and other information are provided for general informational purposes unless expressly incorporated into a written agreement.

The Company reserves the right to correct errors, update information, and withdraw offers before contractual acceptance.

Photographs and digital renderings may be illustrative. Material differences from the actual vehicle or ordered specification must be disclosed in accordance with applicable law.

No statement on the website constitutes a binding guarantee unless expressly confirmed in writing by an authorized Company representative.

Nothing in these Terms excludes liability for fraudulent or intentionally misleading representations.

3. Orders and Contract Formation

Submitting an inquiry, configuration, reservation request, or purchase request does not automatically constitute acceptance by the Company.

A binding purchase agreement is formed only when the Company issues written acceptance identifying the vehicle or goods, agreed specifications, purchase price, payment terms, and relevant conditions.

Upon such acceptance, the buyer becomes contractually obligated to perform the agreed purchase, subject to applicable cancellation and consumer protection rights.

Changes requested after acceptance require the Company’s written approval and may result in additional charges, revised delivery dates, or both.

4. Deposits and Advance Payments

The Company may require a deposit or advance payment before reserving, sourcing, purchasing, manufacturing, modifying, or arranging delivery of a vehicle or product.

Unless otherwise agreed in writing, deposits are credited toward the final purchase price.

Deposits may be applied toward contractually agreed cancellation charges, documented expenses, and other recoverable losses.

No provision in these Terms makes a deposit automatically non-refundable where applicable law requires its return.

5. Order Cancellation – 10% Charge

ALL CONFIRMED VEHICLE ORDERS ARE BINDING, SUBJECT TO APPLICABLE LAW.

Where a buyer cancels or repudiates an accepted vehicle order without a contractual or statutory right to do so, the Company may assess liquidated damages equal to ten percent (10%) of the agreed vehicle purchase price.

The parties acknowledge that cancellation may cause sourcing expenses, administrative costs, loss of commercial opportunities, supplier commitments, remarketing costs, and other losses that may be difficult to quantify.

The 10% amount is intended as a reasonable advance estimate of such losses and not as a punitive charge.

This provision applies only to the extent the amount is reasonable and enforceable under the law governing the transaction.

Amounts already paid may be credited against the enforceable cancellation charge. Any balance legally owed to the buyer shall be refunded.

The Company shall not recover the same loss twice.

A buyer’s statutory cancellation rights, remedies for seller breach, and other non-waivable rights remain unaffected.

6. Custom-Built and Special-Order Vehicles

Vehicles manufactured, configured, modified, restored, or sourced according to individual customer requirements may involve non-recoverable supplier commitments and specialized expenditure.

Once work has commenced or third-party commitments have been made, cancellation may result in liability for reasonable, documented, and legally recoverable costs.

Where a specific non-refundable production commitment or cancellation schedule is agreed, it must be disclosed and accepted in writing before the relevant order becomes binding.

Customized products may be excluded from certain statutory withdrawal rights where applicable law expressly permits that exclusion.

7. Vehicle Condition, Authenticity and Specifications

The Company may offer original classic vehicles, modern performance vehicles, replica vehicles, continuation-style vehicles, custom builds, restored vehicles, and third-party-manufactured products.

Replica and reproduction vehicles are not represented as original vehicles manufactured by the historical marque unless expressly and accurately identified as such.

Vehicle age, mileage, originality, restoration history, mechanical condition, and specifications shall be described based on available records and reasonably verified information.

Classic and modified vehicles may exhibit characteristics, wear, tolerances, and maintenance requirements different from modern production vehicles.

The buyer is encouraged to arrange an independent inspection before purchase.

No inspection recommendation excludes responsibility for material misrepresentation, undisclosed defects where disclosure is legally required, or non-waivable statutory rights.

8. Brokerage and Third-Party Transactions

Where Retro Cars USA acts solely as a broker or intermediary, the actual seller and contractual parties shall be identified in the transaction documents.

The Company may facilitate introductions, negotiations, inspections, documentation, transport, and transaction coordination.

Unless expressly agreed otherwise, the Company does not become the manufacturer or seller of a third-party vehicle merely by arranging the transaction.

Brokerage commissions, sourcing fees, and related charges shall be disclosed in the applicable agreement.

The Company is not responsible for independent third-party obligations except to the extent arising from its own conduct, contractual undertakings, or applicable law.

9. Pricing, Taxes and Additional Charges

Unless expressly stated otherwise, quoted prices exclude applicable taxes, customs duties, registration fees, import charges, shipping, insurance, homologation, inspection fees, and destination-specific expenses.

The buyer is responsible for charges allocated to the buyer under the agreed transaction terms and applicable law.

Pricing errors may be corrected before order acceptance.

After acceptance, prices may only be adjusted where the agreement and applicable law permit such adjustment.

10. International Sales, Importation and Registration

The buyer is responsible for confirming the import eligibility, registration requirements, licensing, taxation, and legal operating restrictions applicable in the destination country, except where the Company has expressly undertaken those responsibilities.

A vehicle eligible for registration in one jurisdiction is not necessarily eligible in another.

The Company does not guarantee EU homologation, Spanish registration, German TÜV approval, emissions compliance, or other jurisdiction-specific approval unless expressly agreed in writing.

Where the Company undertakes importation, homologation, or registration services, its obligations shall be governed by the relevant written service agreement and applicable law.

11. Delivery and Transportation

Delivery dates are estimates unless expressly designated as binding.

Delivery may be affected by manufacturing schedules, transport availability, customs inspections, port operations, regulatory approvals, and circumstances outside the Company’s reasonable control.

The Company shall communicate material delays and comply with applicable delivery obligations.

Risk of loss, title transfer, shipping responsibility, and insurance arrangements shall be determined by the applicable purchase agreement and mandatory law.

No clause in these Terms transfers risk to a consumer earlier than legally permitted.

12. Inspection and Acceptance

Buyers should inspect vehicles and goods promptly upon delivery and notify the Company of any apparent discrepancies or damage.

Any agreed inspection or acceptance procedure shall be specified in the purchase agreement.

Failure to report an issue within a contractual inspection period does not extinguish non-waivable statutory warranty rights or remedies for latent defects.

13. Warranties and Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, goods and services are supplied subject only to the warranties expressly provided in the relevant transaction documents and any warranties that cannot legally be excluded.

Where legally permitted and expressly documented, used vehicles may be sold “AS IS, WHERE IS, WITH ALL FAULTS.”

Any such disclaimer must comply with the requirements of the jurisdiction governing the sale.

Manufacturer warranties, where applicable, are governed by their respective terms.

The Company does not independently guarantee the performance of third-party manufacturers or service providers unless expressly agreed.

Nothing in this section excludes mandatory consumer warranties, liability for fraud, or other legally non-excludable obligations.

14. Parts and Components

Replacement parts may include original equipment, aftermarket, reproduction, refurbished, or specialist-manufactured components, as accurately identified in the applicable listing or order.

Compatibility must be verified against the relevant vehicle specification, particularly where vehicles have been modified or restored.

The Company shall remain responsible for its own descriptions, representations, and legal obligations.

Special-order parts, installed components, and customized goods may be subject to specific return restrictions, provided these are disclosed before purchase and permitted by law.

15. Services, Restoration and Technical Work

Repair, restoration, inspection, customization, and technical coordination services shall be governed by the applicable written quotation or work authorization.

Additional work requiring additional payment must be authorized as required by the agreement and applicable law.

Estimates may change where previously undiscovered defects or technical conditions are identified, subject to the customer’s approval where required.

The Company does not guarantee that historic vehicles will meet modern vehicle standards unless such compliance is expressly included in the contracted work.

16. Customer Responsibilities

Customers must provide accurate identity, payment, delivery, and registration information.

Customers are responsible for using vehicles safely, complying with local operating requirements, and performing appropriate maintenance.

No customer may use the website or Company services for fraudulent transactions, unlawful exports, sanctions violations, or other illegal activities.

The Company may decline or suspend a transaction where legally justified by compliance, fraud prevention, or payment concerns.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, the Company shall not be liable for indirect, incidental, special, or consequential commercial losses, including lost profits, lost business opportunities, or business interruption, arising from a transaction.

For commercial transactions, the Company’s aggregate contractual liability shall, to the extent legally permitted, not exceed the amount paid or payable to the Company under the transaction giving rise to the claim.

This limitation does not apply where prohibited by law, including liability for fraud, willful misconduct, or other non-excludable claims.

Nothing in these Terms removes mandatory consumer remedies.

18. Third-Party Providers

The Company may engage independent transport companies, manufacturers, inspection providers, restoration specialists, and other contractors.

Each provider remains responsible for its own contractual and legal obligations.

The Company shall not be liable for independent third-party conduct beyond the responsibilities imposed upon it by its own agreement, conduct, or applicable law.

19. Intellectual Property

The Retro Cars USA name, brand presentation, website content, original artwork, photographs, designs, and other proprietary materials are protected to the extent provided by applicable intellectual property law.

No license to reproduce or commercially exploit such materials is granted without prior written authorization.

References to third-party automotive manufacturers and trademarks are for identification purposes and do not imply sponsorship, endorsement, or affiliation unless expressly stated.

20. Payment Default

Payments must be made according to the agreed schedule.

In the event of payment default, the Company may exercise contractual and statutory remedies, including suspending performance, withholding delivery where legally permitted, and recovering lawful collection costs.

Any interest or late-payment charges must be expressly agreed and comply with applicable law.

21. Force Majeure

Neither party shall be liable for delays caused by extraordinary events beyond its reasonable control to the extent recognized by applicable law.

Such events may include natural disasters, war, governmental restrictions, major transport disruptions, and other qualifying circumstances.

Affected parties must take reasonable steps to mitigate disruption.

Statutory refund and termination rights remain unaffected.

22. Governing Law and Disputes

Subject to mandatory consumer protection and jurisdiction rules, these Terms and commercial transactions with the Company shall be governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.

For disputes arising from business-to-business transactions, the parties agree, to the extent legally permissible, to the jurisdiction of the competent state or federal courts located in Wyoming.

Nothing in this section deprives consumers of mandatory protections or court access available under applicable law.

23. Severability

If any provision is determined to be invalid or unenforceable, the remaining provisions shall remain effective to the extent permitted by law.

An invalid provision shall not automatically be replaced by a broader restriction than the law permits.

24. Entire Agreement and Amendments

These Terms, together with the applicable written purchase agreement, order confirmation, invoice, and expressly incorporated documents, constitute the agreement governing the relevant transaction.

Individually negotiated terms prevail over conflicting general terms.

Changes to an accepted transaction require agreement by the parties unless otherwise permitted by law.

Website Terms may be updated prospectively. Updated Terms do not automatically modify previously concluded contracts.
